Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Proposal OS, operated by Aaryaa Technologies Limited (“we”, “us”, “our”). By accessing or using Proposal OS, you agree to be bound by these Terms.

If you are using Proposal OS on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Proposal OS is an AI-assisted proposal generation platform for Managed Service Providers (MSPs). The service enables users to create Statements of Works (SOWs) and project proposals using artificial intelligence.

We reserve the right to modify, suspend, or discontinue the service at any time with reasonable notice.

You are responsible for:

• ·Maintaining the security of your account credentials
• ·All activity that occurs under your account
• ·Ensuring all workspace members comply with these Terms
• ·Notifying us immediately of any unauthorised access to your account

Each workspace represents one organisation. You may not create workspaces to circumvent subscription limits.

You agree not to use Proposal OS to:

• ·Generate content that is false, misleading, or fraudulent
• ·Violate any applicable laws or regulations
• ·Attempt to reverse-engineer, scrape, or copy the service
• ·Use the service in a way that could damage, disable, or impair it
• ·Share your account credentials with individuals outside your organisation
• ·Resell access to the service without our written consent

Proposal OS is offered on a subscription basis. Pricing tiers and limits are as described on our pricing page. Subscriptions begin with a 14-day free trial.

Payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis according to your chosen billing period.

All prices are exclusive of VAT. VAT will be added at the applicable UK rate where required.

You may cancel your subscription at any time from your account settings. On cancellation, your access continues until the end of the current billing period. We do not provide refunds for partial periods unless required by law.

We reserve the right to terminate accounts that violate these Terms, with immediate effect and without refund.

Your content. You retain ownership of all project briefs, company information, and proposals generated within your workspace. By using the service, you grant us a limited licence to process your content solely to provide the service.

Our IP. Proposal OS, its software, prompts, brand, and documentation are owned by Aaryaa Technologies Limited and protected by intellectual property law. You may not copy, modify, or distribute any part of the service without our written permission.

Proposals generated by Proposal OS are produced by an AI model. While we design our system to produce high-quality, professional output, you are responsible for:

• ·Reviewing all generated content before sending it to clients
• ·Ensuring the content is accurate and appropriate for your specific engagement
• ·Any decisions made based on AI-generated proposals

AI-generated content does not constitute legal, financial, or professional advice. For significant engagements, we recommend review by a qualified professional.

To the maximum extent permitted by law, Aaryaa Technologies Limited shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of Proposal OS, including loss of revenue, loss of data, or loss of business opportunity.

Our total liability to you in any 12-month period shall not exceed the total subscription fees paid by you in that period.

We aim to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses arising from service unavailability.

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the service after that date constitutes acceptance of the revised Terms.
